SynthoDesk End-User License Agreement

Agreement and acceptance
By installing, accessing, or using SynthoDesk (the “Software”), you (“End User” or “you”) agree to be bound by this End-User License Agreement (this “Agreement”) between you and SynthoCore Automation Inc. (“SynthoCore,” “we,” “us,” or “our”). If you are accepting this Agreement on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree to these terms, do not install or use the Software.
About SynthoDesk
SynthoDesk is a Microsoft 365 add-in suite that automates engineering-document workflows, including calculations, drawings, and technical templates. It is available through Microsoft AppSource for corporate and enterprise customers, and through SynthoCore’s own subscription channel for individual subscribers. Unless otherwise stated, this Agreement applies to both channels; Microsoft AppSource purchases are additionally subject to Microsoft’s terms of use.
License grant
Subject to this Agreement and your active subscription, SynthoCore grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use SynthoDesk on devices associated with your Microsoft 365 account, solely for your internal business purposes. The Software is licensed, not sold. Access is tied to your Microsoft sign-in; static license keys are not issued. If your subscription lapses, the add-in may stop functioning, but your documents and data remain in your own Microsoft 365 tenant.
Trial period and automatic conversion
When you begin an individual SynthoDesk subscription, you receive a 30-day free trial of the full suite. A valid payment method is required to start the trial. During the trial you have access to all features of the plan you selected.
At the end of the 30-day trial period, your subscription will automatically convert to a paid subscription and the applicable recurring fee will be charged to your payment method on file, unless you cancel before the trial ends. You will receive a notification before conversion takes effect reminding you of the conversion date and the fee that will be charged. To cancel before conversion, contact us at info@synthocore.ca or use the cancellation flow in your account portal.
EU consumers — right of withdrawal
If you are a consumer located in the European Union, you have the right to withdraw from this Agreement without giving any reason within 14 days of the date your subscription converts from trial to paid (the “Conversion Date”), in accordance with the EU Consumer Rights Directive (2011/83/EU). The 14-day withdrawal period commences on the Conversion Date.
To exercise the right of withdrawal, notify us before the withdrawal period expires at info@synthocore.ca with a clear statement of your decision to withdraw. If you withdraw within the applicable window, we will reimburse you for any subscription fee charged at conversion, using the same payment method, without undue delay and no later than 14 days after we receive your withdrawal notice.
If, after conversion, you explicitly request that performance of the service begin immediately and acknowledge that you will thereby lose your right of withdrawal once the service is fully performed, your right of withdrawal will be extinguished upon full performance of the service.
Canadian consumers — affirmative consent
If you are a consumer located in Canada, your trial subscription will not convert to a paid subscription without your affirmative consent. Before your trial period ends, you will be presented with a clear disclosure of the recurring charge amount, billing frequency, and cancellation terms, and you will be required to confirm your agreement before any fee is applied. You may decline at that point and your trial will end without charge. After providing affirmative consent, you may cancel at any time to stop future renewals.
Restrictions
You may not: (a) sublicense, sell, resell, transfer, assign, or otherwise distribute the Software or access to it; (b) modify, translate, adapt, or create derivative works of the Software; (c) reverse engineer, disassemble, or decompile the Software, except to the extent expressly permitted by applicable law; (d) use the Software to build a competing product or service; (e) remove, obscure, or alter any proprietary notices or labels on or in the Software; or (f) use the Software in any manner that violates applicable law or infringes the rights of any third party.
Intellectual property
SynthoCore and its licensors own all right, title, and interest in and to the Software, including all associated intellectual property rights. Nothing in this Agreement transfers ownership of any such rights to you, except the limited license expressly granted above. “SynthoCore,” “SynthoDesk,” and “SynthoFlow” are trademarks of SynthoCore Automation Inc. All rights not expressly granted are reserved.
Your data
Your documents, templates, and data created with SynthoDesk remain in your own Microsoft 365 tenant. You retain all ownership of your content and are responsible for ensuring you have the necessary rights to use it with the Software. Our collection and handling of personal information is described in our Privacy Policy.
Professional-responsibility notice
SynthoDesk assists engineering work; it does not replace professional judgment. Calculations, documents, and any AI-assisted output produced with the Software must be reviewed and approved by a qualified professional before being relied upon for any purpose. You remain solely responsible for verifying results and for compliance with applicable standards, codes, and regulations.
Disclaimers
The Software is provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the fullest extent permitted by applicable law. We do not warrant that the Software will be uninterrupted, error-free, secure, or compatible with all hardware and software environments. Nothing in this section limits statutory warranties that cannot be excluded under the law of your jurisdiction.
Limitation of liability
To the fullest extent permitted by applicable law, SynthoCore will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business opportunity, arising out of or related to this Agreement or your use of the Software. Our total aggregate liability for any claim under this Agreement will not exceed the fees you paid to SynthoCore for the Software in the twelve months preceding the claim. Nothing in this section limits liability that cannot be excluded or limited under the mandatory law of your jurisdiction, including the statutory rights of EU or Canadian consumers.
Term and termination
This Agreement begins on the date you first install or access the Software and continues for the duration of your active subscription. Either party may terminate this Agreement if the other materially breaches it and fails to cure the breach within 30 days of written notice. SynthoCore may also suspend or terminate your access immediately if required by law, to prevent harm to other users, or to protect the integrity of the Software. Upon termination, the license granted under this Agreement ends immediately, but your data in your Microsoft 365 tenant remains yours.
Governing law
This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in Ontario for any dispute arising under this Agreement, except where prohibited by the mandatory consumer protection law of your jurisdiction.
Changes to this Agreement
We may update this Agreement from time to time. The “Last updated” date above indicates when it was last revised. We will provide notice of material changes before they take effect. Continued use of the Software after changes take effect constitutes acceptance of the updated Agreement.
