Agreement
These Terms of Service (the “Terms”) govern your access to and use of synthocore.ca (the “Site”) and the products and services offered by SynthoCore Automation Inc. (“SynthoCore,” “we,” “us,” or “our”), including SynthoDesk. By using the Site or our products, you agree to these Terms. If you do not agree, please do not use the Site or our products.
Who we are
SynthoCore Automation Inc. is an engineering-automation company. SynthoDesk, our Microsoft 365 add-in suite, is the furthest along. SynthoFlow, SynthoOps and our governed AI capabilities are in development and are not yet available to customers; any description of them on this Site is provided for information only and does not create an offer or commitment.
Use of the Site
You may use the Site for lawful purposes only. You agree not to misuse the Site, interfere with its normal operation, attempt to gain unauthorized access to any systems, or use it to transmit unlawful, harmful, or infringing content. We may modify, suspend, or discontinue any part of the Site at any time.
Subscriptions, trials, and billing
SynthoDesk is offered on a subscription basis. Each plan begins with a 30-day trial of the full suite; a valid payment method is required to start the trial, and unless you cancel before the trial ends, your subscription will begin and the applicable fee will be charged. Individual subscriptions are billed through our payment provider, Paddle, which acts as merchant of record and calculates any applicable taxes at checkout. Corporate and enterprise licensing is provided per-seat through Microsoft AppSource and billed on your Microsoft invoice. Prices are shown in USD, may vary by region, and may be updated from time to time. You may cancel at any time; cancellation stops future renewals but does not entitle you to a refund of fees already paid except as required by law or expressly stated at purchase.
Licenses and access
Subject to these Terms and your active subscription, SynthoCore grants you a limited, non-exclusive, non-transferable, revocable license to use SynthoDesk for your internal business purposes. The software is licensed, not sold. Access is tied to your Microsoft sign-in rather than static license keys. If your subscription lapses, the add-ins may stop functioning, but your documents and data remain in your own Microsoft 365 tenant.
Your data and content
Your documents, templates, and data created with our products remain yours and stay in your own Microsoft 365 tenant. You are responsible for your content and for ensuring you have the rights to use it. Our handling of personal information is described in our Privacy Policy.
Intellectual property
SynthoCore and its licensors own all rights, title, and interest in the Site, our products, and all associated trademarks, including “SynthoCore,” “SynthoDesk,” “SynthoFlow,” and “SynthoOps.” Nothing in these Terms transfers any of those rights to you except the limited license expressly granted above.
Professional-responsibility notice
Our products assist engineering work; they do not replace professional judgment. Calculations, documents, and any AI-assisted output produced with our tools must be reviewed and approved by a qualified person before being relied upon. You remain responsible for verifying results and for compliance with applicable standards, codes, and regulations.
Disclaimers
The Site and our products are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Site or products will be uninterrupted, error-free, or free of harmful components.
Limitation of liability
To the fullest extent permitted by law, SynthoCore will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Site or our products. Our total liability for any claim relating to the products will not exceed the amount you paid to SynthoCore for the product in the twelve months preceding the claim.
Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in Ontario for any dispute arising from these Terms, except where prohibited by applicable law.
Changes to these Terms
We may update these Terms from time to time. The “Last updated” date above indicates when they were last revised. Continued use of the Site or our products after changes take effect constitutes acceptance of the updated Terms.
